I prezzi e l’assortimento possono cambiare in qualsiasi momento. 4.2 L’utente è tenuto a verificare immediatamente i prodotti consegnati e denunciare eventuali difetti o difformità entro dieci (10) giorni, per iscritto, contattando l’online shop. Trascorso tale termine, potranno essere denunciati solo i vizi occulti. 5. Scope of application 1.1 These General Terms and Conditions (GTC) apply to all orders placed at Schulthess Online Shop (Online Shop) for products of Schulthess Maschinen AG (Schulthess) offered there and to contracts concluded on the basis of these orders. 1.2 Schulthess reserves the right to change the GTC at any time. The version valid at the time of your order shall apply. 2. Offerings 2.1 The offers in the Online Shop are aimed at clients domiciled in Switzerland or Liechtenstein. Price and assortment changes are possible at any time. 2.3 It is your responsibility to ensure that the products offered in the Online Shop are suitable for your intended use. Schulthess shall only be bound by declarations made with regard to the scope of delivery, performance or quality of the products, if these are expressly stated in the product specification and description in the Online Shop. 2.4 The descriptions and illustrations contained in Schulthess catalogues, brochures or other advertising materials are non-binding. 3. Orders 3.1 The presentation of the products in the Online Shop does not constitute a legally binding offer, but a non-binding invitation to order one or more products from Schulthess. 3.2 An order shall be deemed to be an offer to enter into a contract with Schulthess. 3.3 After submitting your order, you will automatically receive a confirmation of receipt documenting that the order has been received by Schulthess. After receipt of this confirmation of receipt, you can no longer change the order. 3.4 Schulthess is entitled to refuse orders in whole or in part without stating reasons. In this case you will be informed and any payments already made will be refunded. 3.5 Further claims are excluded to the extent permitted by law. Temporarily out-of-stock products cannot be reserved. However, you can contact Schulthess Customer Service at any time to express your interest in unavailable products. 4. Conclusion of contract | Delivery 4.1 A contract between you and Schulthess is concluded either by shipping the ordered products or by agreeing a delivery date [or by delivery of a pick-up invitation]. After dispatch of a product ordered by you, Schulthess will inform you by e-mail. Any delivery dates stated by Schulthess are approximate. 4.2 It is your responsibility to inspect the delivered products immediately upon receipt and to notify the Online Shop in writing of any defects or deviations from the order within ten (10) calendar days. After that, you may only assert claims fors hidden defects. 5. Prices | Payment | Transfer of ownership 5.1 Prices are quoted in Swiss francs and include statutory value-added tax. 5.2 The price in the Online Shop at the time of the order is decisive. 5.3 Payments must be made in Swiss francs. 5.4 The only means of payment accepted are the options shown in the Online Shop, such as credit and debit cards. If you pay by credit or debit card, we will debit the agreed price from your credit or debit card account after conclusion of the contract. 5.5 Schulthess reserves the right to offer additional payment options via its Online Shop. 5.6 The products ordered by you remain the property of Schulthess until payment has been made. If necessary, Schulthess shall be entitled to make a corresponding entry in the retention of title register. Prior to transfer of ownership, pledging, transfer by way of security, processing or transformation shall not be permitted without the express consent of Schulthess. Schulthess Online Shop – General Terms and Conditions Edition march 2022 Page 1 of 2 6. Right of withdrawal 6.1 Subject to the conditions in clause 7 you have no right to return used appliances purchased in the Online Shop. 6.2 New products that you have purchased in the Online Shop may be returned up to ten (10) calendar days after the conclusion of the contract by presenting proof of purchase, provided they are in their original, undamaged, clean and complete condition. You have to bear the costs for the return. Upon receipt, we will refund the price you have paid using the payment method you selected in your order. 7. Warranty 7.1 Schulthess excludes all warranties for any second-hand device purchased in the Online Shop on behalf of a company. 7.2 Otherwise, Schulthess warrants that the delivered products will be free from defects in design, material and workmanship for a period of twelve (12) months from the date of delivery, provided they are used properly, and that they comply with the contractual specifications. Proper use in this sense means storage, installation, commissioning, operation and maintenance in accordance with the product specifications or recognised industry practice. 7.3 Schulthess’s liability shall not extend to (a) traces of use or wear of second-hand appliances existing at the time the contract was concluded or (b) failure of new products as a result of wear, misuse or improper use, neglect of maintenance obligations or as a result of repairs or modifications not carried out by Schulthess. 7.4 Your warranty rights are governed by the Swiss Code of Obligations and include repair, replacement or return. A possible exchange is limited to new products and does not apply to second-hand appliances. 7.5 The warranty in this paragraph 7 supersedes and excludes all oral, written, statutory, express or implied warranties and conditions to the fullest extent permitted by law. 8. Limitation of liability 8.1 Schulthess shall be liable without limitation for damages caused intentionally or by gross negligence. In the event of a slightly negligent breach of a material contractual obligation or ancillary obligation which prevents the purpose of the contract from being achieved and which you could rely on being complied with (material ancillary obligation), Schulthess’s liability shall be limited to the extent permitted by law to foreseeable damage typical of the contract at the time of conclusion of the contract. In the event of a slightly negligent breach of ancillary obligations which are not material ancillary obligations, Schulthess’s liability shall be excluded. 8.2 Schulthess’s liability for damage resulting from injury to life, limb and health, in the event of fraudulent concealment of defects, in the event of assumption of quality guarantees and liability under the Swiss Product Liability Act (if applicable) shall remain unaffected. 8.3 The statutory rules on the burden of proof shall remain unaffected. 9. Data protection clause Schulthess will treat your personal data, which must be processed within the framework of orders in the Online Shop, in accordance with the Schulthess Privacy Policy which is in conformity with the principles of the EU General Data Protection Regulation. The individual provisions of the Schulthess Privacy Policy can be found at the following web link: https://www.schulthess.ch/en/meta/disclaimer. Upon request, Schulthess will also send you a copy of the Schulthess Privacy Policy either by e-mail or by post. 10. Final clauses 10.1 Should any provision of these GTC be or become invalid, this shall not affect the validity of the remaining provisions.
